Hidden dividend distributions & hidden capital contributions, 2e édition. A technical guide
Luxembourg companies have a legal personality that is separate from that of their shareholder(s). Consequently, they may enter into agreements with their shareholders as they do with third parties. However, when the terms and conditions of those agreements do not adhere to the arm's length standard, tax adjustments may be required in accordance with the concepts of hidden dividend distribution and hidden capital contribution. Both concepts aim at a separation of the sphere of the company (which is itself subject to corporate income tax on its worldwide income) from that of its shareholders. As such, the concepts of hidden dividend distribution and hidden capital contribution are cornerstones of Luxembourg's transfer pricing rules. In addition, in the context of associated enterprises (in a group of companies), tax adjustments might be required under Article 56 of the Luxembourg Income Tax Law ("LITL"). Hence, a clear distinction must be made between agreements that adhere to the arm's length principle and agreements that, motivated by the shareholding relationship, shift advantages from the company to the shareholder or vice versa. Therefore, each contractual relationship between a company and its shareholder(s) must be considered. Luxembourg tax law does not provide for exhaustive definitions of hidden dividend distributions and hidden capital contributions. Both concepts have their origins in case law of the German Reich Tax Court (Reichsfinanzhof) and have been carefully extended and refined through the years by the German Federal Tax Court (Bundesfinanzhof). Since the publication of the first edition of this book back in 2011, the Luxembourg Courts had to decide in numerous cases involving both concepts. This book offers a one-of-a-kind, practical insight into the tax treatment of hidden dividend distributions, hidden capital contributions and triangular cases. Charts, case studies and checklists aid the reader in identifying and assessing the various cases in which hidden dividend distributions and hidden capital contributions may arise. A new thematic theory is demonstrated in this book. Thematic theories and their antecedents (Gruber 1965, Fillmore 1968) are to account for morphosyntactic phenomena (concerning argument structures) whose determining factors are likely to be of a semantic nature/origin. But what is the relevant semantic information ? And how is it to be captured (and formalized)? As is shown by the wide variety of competing current thematic theories, there is no consensus upon these crucial questions. The novel starting-point proposed in this book is the creation of a semantic basis where traditional roles (Agent, Patient, Instrument, etc.) are dispensed with. Instead, a special comparative analysis of morphologically related argument structure versions will provide the relevant semantic information, which makes it possible to associate argument frames with rich internal structures via exact formal calculations. Abstract positions in these internal structures are substituted for thematic roles, in harmony with the spirit of Saussure's structuralism.

Questions about personal identity and about time affect us all. The concern for "our" future and the fear of "our" death are based on (mostly vague) concepts of personal identity over time. Though the atomic components of our present body are not identical with the ones shown on our childhood photos, we have no doubts in recognizing ourselves on those pictures. Similarly, we are convinced that "we" will be able to recognize "ourselves" on our present passport-photos even in the future. Is this confidence justified ? If it is not, our conception of life and death would be as faulty as was the image of the universe in the Middle Ages.

Activation Policies for the Unemployed, the Right to Work and the Duty to Work
Since the 1990s and the 2000s, Western social protection systems have experienced a turn towards activation. This turn consists of the multiplication of measures aimed at bringing those who are unemployed closer to participation in the labour market. These measures often induce a strengthening of the conditions that must be met in order to receive social benefits. It is in this well known context that the authors gathered in this book decided to take a closer look at the relationship between activation policies for the unemployed and the right and the duty to work. If activation measures are likely to increase transitions towards the labour market, we can also make the assumption that they may, particularly when they are marked with the seal of coercion, hinder or dramatically reduce the right to freely chosen work. In such circumstances, the realisation of the "right to work", which is often stated to be the aim of those who promote activation, tends in practice to be reduced to an increasing pressure being exerted on the unemployed. In this case, isn't it actually the duty to work that is particularly reinforced ? After an historical and philosophical perspective on the issue, this assumption is confronted with the developments observed in the United States and in France, and then with the guidelines laid down in international human rights instruments. What follows is a discussion of two alternatives to the dominant activation model : the basic income guarantee and the employment guarantee.

Translation, Reduction and Equivalence
Contemporary epistemology and philosophy of science devote a central place to questions of the following sort : When are two conceptual frameworks equivalent ? Under what conditions is one scientific theory reducible to another ? This essay attempts to reach a clearer grasp of these issues by providing a logical analysis of intertheory translation and reduction. Taking first order logic as a starting point, several classical theorems on definability and interpolation are generalised so as to obtain a model-theoretic characterisation of some basic types of reductive relations between theories. This account is later extended by adopting a very general and powerful semantical framework inspired by abstract logic. In this setting it is shown how a richer class of intertheoretic relations can be defined, and how the structuralist approach to reduction, developed by Sneed and Stegmüller, can be critically evaluated.

The negative dimension of the personalistic norm of Wojtyla is then critically examined. Conjugal love is explained in terms of conjugal beneficience based on conjugal benevolence. This love leads to total self-giving in each conjugal act. The procreative meaning of the conjugal act seems to be its most formal element (the soul of the act, so to speak); the unitive element is described as an essential property of this act, something which necessarily flows from the conjugal act which is open to life. Chastity is the virtue that allows sexuality to be integrated into a love which is truly personal and reflects Trinitarian Love.
